Please read these Terms of Service carefully before using the iRayt platform. By accessing or using any part of iRayt, you agree to be bound by these terms.

1. About iRayt

iRayt is a real-time customer feedback and staff performance management platform operated by iRayt Technologies Limited, a company registered in Nigeria ("iRayt", "we", "us", or "our"). Our platform enables customers to rate service staff and businesses to monitor and improve frontline service quality in real time.

The iRayt platform is accessible via our website at www.irayt.appand includes all related dashboards, mobile interfaces, QR code systems, APIs, and associated services (collectively, the "Platform").

2. Who These Terms Apply To

These Terms of Service apply to all users of the iRayt Platform, including:

  • Customers / Raters — individuals who scan an iRayt QR code and submit a rating or feedback
  • Business Clients — organisations, companies, and enterprises that subscribe to iRayt to manage staff performance and customer feedback
  • Staff Members — employees or service personnel registered on the iRayt platform by a Business Client
  • Managers and Administrators — individuals with dashboard or administrative access granted by a Business Client

By using the Platform in any capacity, you confirm that you have read, understood, and agree to these Terms. If you are using iRayt on behalf of a business or organisation, you confirm that you have the authority to bind that organisation to these Terms.

3. The iRayt Platform — What We Provide

iRayt provides the following core services:

  • QR Code-Based Rating System: Customers scan a unique QR code to submit real-time feedback on the service received from individual staff members.
  • Staff Performance Dashboards: Business Clients and their designated managers receive access to real-time analytics showing individual staff ratings, NPS scores, CSAT scores, and branch-level performance data.
  • Report Generation: Business Clients may generate and download reports summarising service performance data across their branches and staff.
  • Loyalty Features: Where enabled, customers may receive points or recognition for submitting ratings, as configured by the Business Client.
  • Business Management Tools: Business Clients may onboard staff, configure rating questions, manage branches, and assign dashboard access permissions.

iRayt reserves the right to modify, update, or discontinue any feature of the Platform at any time, with reasonable notice to Business Clients where such changes are material.

4. Accounts and Registration

Business Clients must register for an iRayt account to access the Platform's management and dashboard features. By registering, you agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your account credentials secure and not share them with unauthorised persons
  • Notify iRayt promptly at admin@irayt.app if you suspect any unauthorised access to your account
  • Take responsibility for all activity that occurs under your account

iRayt reserves the right to suspend or terminate accounts that provide false information, engage in misuse of the Platform, or violate these Terms.

Customers submitting ratings via QR code are not required to create an account. Where customers choose to provide identifying information (such as name, email address, or phone number), this is entirely voluntary and subject to our Privacy Policy.

5. Acceptable Use

You agree to use the iRayt Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Submit false, fabricated, or malicious ratings or feedback with intent to harm a staff member or business
  • Use the Platform to harass, defame, discriminate against, or make false accusations about any individual
  • Attempt to manipulate or game the rating system by submitting multiple ratings for the same interaction, coordinating fake ratings, or encouraging others to do so
  • Access, tamper with, or attempt to gain unauthorised access to another user's account, data, or the Platform's backend systems
  • Use automated tools, bots, or scripts to interact with the Platform without iRayt's prior written consent
  • Upload or transmit any malicious code, viruses, or harmful content
  • Use the Platform in any way that violates applicable Nigerian law or international law
  • Reverse engineer, decompile, or attempt to extract the source code of any part of the Platform

iRayt reserves the right to remove any content, suspend any account, or take any action it deems necessary in response to a breach of this section, without notice.

6. Ratings and Feedback

iRayt is a feedback platform. By submitting a rating or comment, you acknowledge and agree that:

  • Your rating reflects your genuine experience of the service you received
  • Your feedback will be made available to the relevant Business Client and designated managers in their iRayt dashboard
  • iRayt does not guarantee the confidentiality of comments you submit — they may be visible to Business Client administrators
  • iRayt does not edit, verify, or endorse customer feedback, and is not responsible for the accuracy of ratings submitted by customers
  • Where you voluntarily provide your name, phone number, or email address, this information may be used by the Business Client for service follow-up or recovery purposes, as disclosed in our Privacy Policy

Ratings are used by Business Clients to manage staff performance and improve service quality. iRayt is not responsible for any employment or operational decisions made by a Business Client based on iRayt data. Such decisions are the sole responsibility of the Business Client.

7. Business Client Responsibilities

If you use iRayt as a Business Client, you agree to:

  • Inform your staff members that iRayt is deployed and that their service interactions with customers may be rated
  • Ensure that the use of iRayt within your organisation complies with applicable employment law, including fair performance management practices
  • Use iRayt data responsibly and in accordance with your own internal HR and disciplinary policies
  • Not use iRayt ratings as the sole basis for dismissal or disciplinary action without appropriate supporting evidence and process
  • Ensure that only authorised personnel are granted dashboard or administrative access
  • Comply with the Nigeria Data Protection Act 2023 (NDPA) and any other applicable data protection laws in your handling of customer and staff data obtained through the Platform
  • Maintain the confidentiality of your dashboard credentials and access details

iRayt is a tool for service insight and improvement. The interpretation and application of iRayt data within your organisation remains your responsibility.

8. Intellectual Property

All content, technology, software, algorithms, trademarks, branding, and design elements on the iRayt Platform are the exclusive intellectual property of iRayt Technologies Limited, protected under applicable Nigerian and international intellectual property law.

You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not:

  • Copy, reproduce, or redistribute any part of the Platform or its content
  • Use iRayt's branding, logo, or name in any external communication without prior written consent
  • Create derivative works based on the Platform or its underlying technology

Feedback or suggestions you submit about the Platform may be used by iRayt to improve its services without any obligation to you.

9. Privacy and Data Protection

iRayt takes the privacy and security of your data seriously. Our collection, use, storage, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms.

10. Subscriptions and Payment

Access to iRayt's Business Client features requires a paid subscription. By subscribing, you agree to:

  • Pay all fees as set out in your commercial agreement with iRayt
  • Ensure that payment is made by the due date specified in your invoice
  • Notify iRayt of any billing disputes within 14 days of the invoice date

iRayt reserves the right to suspend access to the Platform for accounts with outstanding payments. Fees paid are non-refundable except where required by applicable law or as expressly agreed in your commercial agreement.

iRayt may update its pricing from time to time. Business Clients will be given reasonable advance notice of any pricing changes before they take effect.

11. Service Availability

iRayt aims to maintain the Platform available 99.5% of the time on a monthly basis, as set out in the applicable Service Level Agreement (SLA) for Business Clients. However, iRayt does not guarantee uninterrupted or error-free access to the Platform.

The Platform may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice provided where possible)
  • Emergency technical issues or security incidents
  • Circumstances beyond iRayt's reasonable control, including internet infrastructure failures or Force Majeure events

iRayt will endeavour to minimise disruption and restore service as quickly as reasonably possible. Service availability commitments for Business Clients are governed by the applicable SLA.

12. Limitation of Liability

To the fullest extent permitted by applicable Nigerian law:

  • iRayt provides the Platform on an "as is" and "as available" basis and makes no warranties, express or implied, regarding the accuracy, reliability, or fitness of the Platform for any particular purpose
  • iRayt is not liable for any indirect, consequential, incidental, or special damages arising from your use of or inability to use the Platform
  • iRayt is not responsible for any decisions made by Business Clients based on data or insights provided through the Platform
  • iRayt is not responsible for the accuracy or truthfulness of customer ratings submitted by third parties
  • iRayt's total liability to any party shall not exceed the total fees paid by that party to iRayt in the three months preceding the event giving rise to the claim

Nothing in these Terms limits iRayt's liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded by applicable law.

13. Third-Party Services

The iRayt Platform may rely on or integrate with third-party services, including cloud hosting providers and email service providers. iRayt is not responsible for the availability, performance, or data handling practices of third-party services beyond what is covered under iRayt's formal agreements with those providers.

Links to third-party websites from the Platform are provided for convenience only. iRayt does not endorse and is not responsible for the content of any third-party website.

14. Termination

Either party may terminate a Business Client account by providing written notice in accordance with the applicable commercial agreement.

iRayt may immediately suspend or terminate your access to the Platform without notice if:

  • You breach any provision of these Terms
  • You engage in fraudulent, abusive, or unlawful conduct
  • iRayt is required to do so by law or a regulatory authority

Upon termination, your right to access the Platform ceases immediately. Business Clients may request an export of their data within 30 days of termination, after which iRayt may delete the data in accordance with its data retention policy.

15. Changes to These Terms

iRayt may update these Terms of Service from time to time to reflect changes in our services, technology, or applicable law. When we make material changes, we will notify Business Clients by email and update the "Effective Date" at the top of this document.

Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Platform and contact us to discuss your options.

16. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 14 days.

If the dispute is not resolved through negotiation, either party may refer the matter to mediation or arbitration in accordance with Nigerian law. The parties submit to the non-exclusive jurisdiction of the Nigerian courts.
